These Website Terms of Use ("Terms") govern your access to and use of leveloneimaging.com and any webpage or online service operated by Level One Imaging Solutions, Inc. that links to these Terms (collectively, the "Site"). In these Terms, "Level One Imaging Solutions," "Level One," "we," "us," and "our" refer to Level One Imaging Solutions, Inc. "You" refers to each person or organization that accesses or uses the Site.

By accessing or using the Site, you agree to these Terms. If you use the Site on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms. If you do not agree, do not use the Site.

1. Scope of These Terms

These Terms govern use of the Site. A quotation, service agreement, service schedule, purchase order, sales order, warranty, return policy, statement of work, training agreement, or other written agreement accepted by Level One Imaging Solutions may contain additional or different terms for a particular product, transaction, or service. If there is a conflict, the applicable transaction-specific written agreement controls for that product, transaction, or service, and these Terms continue to govern use of the Site.

We may revise these Terms from time to time. Revised Terms will be posted on this page with a new effective date. Changes apply prospectively upon posting unless applicable law requires otherwise.

2. Intended Users and Permitted Use

The Site is intended primarily for hospitals, healthcare organizations, diagnostic-imaging professionals, service organizations, suppliers, vendors, and other business users seeking information about diagnostic-imaging equipment, parts, technical services, maintenance, repair, installation, removal, testing, consulting, or training.

You may access and use the Site only for lawful purposes and in accordance with these Terms. You may view, download, or print a reasonable number of Site pages for your internal business or personal informational use, provided that you do not remove copyright, trademark, or other proprietary notices.

3. Prohibited Conduct

You may not:

• Use the Site in violation of any applicable law, regulation, contract, or third-party right.
• Attempt to gain unauthorized access to the Site, an account, a server, a network, or data not intentionally made available to you.
• Probe, scan, test, circumvent, disable, or interfere with the security, availability, or operation of the Site.
• Introduce malware, malicious code, automated attacks, or other harmful material.
• Use bots, scrapers, crawlers, or other automated means to extract Site content or data, except for ordinary search-engine indexing that complies with our instructions.

4. Website Information; No Medical or Technical Direction

It is not medical advice, a clinical recommendation, an engineering certification, a substitute for manufacturer documentation, or an instruction to operate, service, repair, test, install, remove, or modify equipment. Diagnostic-imaging equipment must be handled by appropriately trained and authorized personnel using the applicable manufacturer documentation, safety procedures, site requirements, and laws.

Product descriptions, compatibility information, availability, specifications, photographs, estimated timelines, and other Site content may be incomplete, contain errors, or change without notice. You are responsible for confirming that any part, product, procedure, or service is appropriate for the specific equipment, configuration, intended use, and facility before relying on it.

5. Quotes, Orders, Products, and Services

A request submitted through the Site is a request for information or consideration and is not an accepted order or binding commitment. A quote, price, availability statement, response, or acknowledgment becomes binding only when Level One Imaging Solutions accepts the transaction through an authorized written agreement, order confirmation, or other written acceptance.

Prices, taxes, shipping charges, lead times, availability, scope, and specifications may change before acceptance. We may reject, limit, correct, or cancel a request or order when permitted by the applicable agreement and law, including in the event of a pricing, description, availability, compatibility, credit, export, compliance, or other material issue.

Product condition, warranty, returns, shipping, risk of loss, payment terms, service scope, response times, and other transaction terms are governed by the applicable quotation, order, policy, or written agreement. Nothing on the Site expands a manufacturer warranty or creates a warranty not expressly provided in an applicable written agreement.

6. Information and Materials You Submit

You represent that information you provide through the Site is accurate, current, and submitted with proper authority. Do not submit patient names, patient images, medical-record numbers, protected health information, payment-card data, passwords, export-controlled technical data, or other highly sensitive or regulated information through a general Site form, ordinary email, or standard text message. Contact us first if an appropriate secure method or written agreement is required.

You retain ownership of materials you submit. You grant Level One Imaging Solutions a limited, nonexclusive right to use, reproduce, transmit, store, and disclose those materials only as reasonably necessary to respond to you, provide requested products or services, operate and protect our business, maintain required records, and comply with law. Personal information is handled as described in our Privacy Policy.

7. Accounts and Security

If an account feature is made available, you are responsible for maintaining the confidentiality of your credentials, restricting access to your account, and promptly notifying us of suspected unauthorized use. You may not use another person's account without authorization. We may suspend or restrict an account to protect the Site, users, or Level One Imaging Solutions; investigate suspected misuse; or comply with law.

8. Intellectual Property

The Site and its content—including text, graphics, photographs, videos, documents, layouts, software, logos, service marks, and compilations—are owned by or licensed to Level One Imaging Solutions and are protected by intellectual-property laws. Except for the limited permission in Section 2, no right or license is granted without our prior written consent.

Names, logos, product names, and trademarks belonging to equipment manufacturers or other third parties remain the property of their respective owners. Their appearance on the Site is for identification or informational purposes and does not by itself imply sponsorship, endorsement, authorization, or affiliation.

9. Third-Party Websites and Services

The Site may link to or integrate websites, maps, videos, payment services, shipping services, manufacturer resources, social-media features, or other services operated by third parties. We do not control those services and are not responsible for their content, availability, security, terms, or privacy practices. A link is provided for convenience and does not necessarily constitute an endorsement. Your use of a third-party service is governed by that third party's terms and policies.

10. Privacy and Communications

Our Privacy Policy explains how we collect, use, disclose, and protect personal information, including mobile telephone numbers and SMS consent records. These Terms do not independently enroll you in a marketing or text-messaging program and do not replace any consent required by law.

Mobile telephone numbers, SMS opt-in information, and messaging consent are not shared, sold, rented, or provided to third parties or affiliates for marketing or promotional purposes. Additional SMS disclosures, including message frequency, message and data rates, STOP, and HELP instructions, are provided in the Privacy Policy and applicable opt-in materials.

11. Site Availability and Security

We may change, suspend, withdraw, restrict, or discontinue any portion of the Site at any time. LEVEL ONE IMAGING SOLUTIONS DISCLAIMS ALL WARRANTIES REGARDING THE SITE AND SITE CONTENT, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND SECURITY.

THIS SECTION APPLIES TO THE SITE AND SITE CONTENT. WARRANTIES, IF ANY, FOR A PARTICULAR PRODUCT OR SERVICE ARE DETERMINED EXCLUSIVELY BY THE APPLICABLE WRITTEN QUOTATION, ORDER, WARRANTY, OR SERVICE AGREEMENT.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEVEL ONE IMAGING SOLUTIONS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND CONTRACTORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATING TO THE SITE OR SITE CONTENT, INCLUDING LOST PROFITS, LOST REVENUE, BUSINESS INTERRUPTION, LOSS OF DATA, OR LOSS OF GOODWILL, EVEN IF ADVISED THAT SUCH DAMAGES MAY OCCUR.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF LEVEL ONE IMAGING SOLUTIONS FOR CLAIMS ARISING SOLELY FROM USE OF THE SITE OR SITE CONTENT WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). THIS LIMIT DOES NOT CONTROL LIABILITY ARISING UNDER A SEPARATE WRITTEN AGREEMENT FOR PRODUCTS OR SERVICES. THAT AGREEMENT'S LIABILITY TERMS APPLY TO THE RELATED TRANSACTION.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited. Some jurisdictions do not allow certain exclusions or limitations, so some of the above provisions may not apply to you.

14. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Level One Imaging Solutions and its officers, directors, employees, agents, and contractors from third-party claims, liabilities, damages, judgments, losses, and reasonable costs arising from your unlawful use of the Site, your material violation of these Terms, or materials you submit that infringe or violate another person's rights. This obligation does not apply to the extent a claim results from the negligence, willful misconduct, or violation of law by the party seeking indemnification.

15. Suspension and Termination

We may suspend or terminate access to the Site if we reasonably believe you have violated these Terms, created a security or legal risk, or used the Site in a way that may harm Level One Imaging Solutions, another user, or a third party. Provisions that by their nature should survive termination will survive, including intellectual-property, disclaimer, limitation-of-liability, indemnification, and dispute provisions.

16. Governing Law and Venue

These Terms and disputes arising from use of the Site are governed by the laws of the State of California, without regard to conflict-of-law principles. Subject to any law that requires otherwise, the state and federal courts located in San Diego County, California will have exclusive jurisdiction, and you consent to personal jurisdiction and venue in those courts.

17. General Terms

These Terms and the documents expressly incorporated by reference constitute the entire agreement concerning use of the Site, but do not replace a separate written agreement governing a product or service. If a provision is held invalid or unenforceable, it will be enforced to the maximum extent permitted, and the remaining provisions will remain effective. A failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, reorganization, transfer of assets, or operation of the Site.
